1. Agreement These Terms of Service (“Terms”) govern your access to and use of the EnrichIT! website (enrichitai.com) and the EnrichIT! AI-powered CRM data enrichment service (collectively, the “Service”), provided by Hermetiq Solutions LLC (“Company”, “we”, “us”, “our”). By using the Service, you agree to these Terms. If you do not agree, do not use the Service.

2. The Service EnrichIT! performs multi-field data enrichment using public web sources and AI/LLM technology. Enrichment can occur via direct CRM integration (HubSpot/Salesforce) or manual batch upload. The Service is provided “as is” and “as available”.

3. Eligibility & Accounts You represent that you are at least 18 years old and have authority to bind your organization. You are fully responsible for all activity under your account credentials.

4. Subscriptions & Billing

• Pricing is primarily per enrichment/API call, with possible volume discounts or monthly minimums as agreed in your order.

• Subscriptions auto-renew monthly. Certain deals may include a minimum initial term.

• You may cancel at any time by emailing support@enrichitai.com (minimum terms honored).

• All fees are payable in advance and non-refundable except where required by law. We may change prices with notice.

5. Data Rights & Processing

• You grant us a worldwide, non-exclusive, royalty-free license to access, process, copy, and enrich your data solely as necessary to deliver the Service.

• We store input/output logs only for support, debugging, and abuse prevention. Logs are not used for marketing or shared externally except with subprocessors under confidentiality.

• You warrant that you have all rights, consents, and lawful bases to provide the data (including any personal data) for enrichment under applicable privacy laws.

• Upon request, we will delete your active data (logs may remain for a reasonable period).

6. Acceptable Use & Restrictions You shall not, and shall not permit others to:

• Use the Service to develop, train, or improve a competing product or service.

• Resell, sublicense, distribute, or commercially exploit the enriched outputs.

• Reverse engineer, decompile, scrape, or attempt to access the underlying models, algorithms, or technology.

• Upload data that is unlawful, infringing, defamatory, or violates any third-party rights.

• Engage in excessive automated usage, exceed reasonable rate limits, or perform actions intended to stress or test the Service.

7. Intellectual Property

• Company owns all rights in the Service, technology, algorithms, and aggregated/anonymized insights.

• You retain ownership of your original data and the enriched records we return to you.

8. Disclaimers THE SERVICE AND ANY ENRICHED DATA ARE PROVIDED “AS IS”. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ACCURACY, COMPLETENESS, MERCHANTABILITY, AND FITNESS FOR PURPOSE. AI-GENERATED RESULTS MAY CONTAIN ERRORS OR INACCURACIES. YOU ARE SOLELY RESPONSIBLE FOR VERIFYING AND USING THE OUTPUTS.

9. Limitation of Liability IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT PAID BY YOU IN THE TWELVE (12) MONTHS BEFORE THE CLAIM. WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, LOSS OF DATA, OR LOST PROFITS, EVEN IF ADVISED OF THE POSSIBILITY.

10. Indemnification You will indemnify, defend, and hold us harmless from any claims, losses, and expenses (including attorneys’ fees) arising from: (i) your data, (ii) your use or reliance on enriched outputs, or (iii) your breach of these Terms.

11. Termination We may suspend or terminate your access immediately for breach or non-payment. Upon termination, your right to use the Service ends. Sections 5–10 survive termination.

12. Governing Law & Venue Governed by New York law. Exclusive venue is state or federal courts located in Albany County, New York.

13. General

• We may modify these Terms with notice (continued use = acceptance).

• If any provision is invalid, the remainder remains in effect.

• No waiver unless in writing.

• These Terms constitute the entire agreement.
